1. Agreement to Terms

By accessing or using Agency Response Co.'s website (agencyresponseco.com.au) and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These terms constitute a legally binding agreement between you and Agency Response Co. Pty Ltd ("Agency Response Co.", "we", "our", "us").

2. Services Description

Agency Response Co. provides AI-powered business automation services for real estate agencies, including but not limited to:

• Vendor experience platforms (Propelix)
• AI voice receptionist services (Callix)
• Lead capture and qualification
• Automated follow-up systems
• CRM integrations and pipelines

3. Account Registration

To use certain features of our services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorised use

4. Fees and Payment

Setup Fees: One-time setup fees are payable upon commencement of services and are non-refundable once work has begun.

Monthly Fees: Ongoing monthly fees are billed in advance. Payment is due on the same date each month.

Usage-Based Fees: Certain services (such as voice AI minutes) may incur additional usage-based charges as specified in your service agreement.

All prices are in Australian Dollars (AUD) and include GST where applicable.

5. No Lock-In Contracts

Agency Response Co. operates on a month-to-month basis. You may cancel your subscription at any time by providing 30 days written notice. Upon cancellation:

• Access to services will continue until the end of your billing period
• No refunds will be provided for partial months
• Your configurations may be archived for 30 days
• You may request an export of your lead data

6. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit spam, malware, or malicious content
• Misrepresent your identity or business
• Interfere with or disrupt our services
• Engage in any fraudulent or deceptive practices

7. AI Disclaimer

Our AI-powered services are designed to assist with customer communications but are not infallible. You acknowledge that:

• AI responses may occasionally be inaccurate or inappropriate
• You are responsible for reviewing and correcting AI-generated content when necessary
• AI should not be relied upon for legal, financial, or safety-critical advice
• You retain ultimate responsibility for your customer relationships

8. Intellectual Property

Our Property: Agency Response Co. retains ownership of all intellectual property rights in our platform, software, and proprietary methodologies.

Your Content: You retain ownership of your agency content, logos, and customer data. You grant us a limited licence to use this content to provide our services.

9. Limitation of Liability

To the maximum extent permitted by law, Agency Response Co. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claim arising from these terms or our services shall not exceed the fees paid by you in the 12 months preceding the claim.

Nothing in these terms excludes or limits liability that cannot be excluded under Australian Consumer Law.

10. Indemnification

You agree to indemnify and hold harmless Agency Response Co., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.

11. Service Availability

We strive to maintain high availability of our services but do not guarantee uninterrupted access. We may suspend services for maintenance, updates, or circumstances beyond our control. We will endeavour to provide reasonable notice of planned maintenance.

12. Modifications to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email or through our website. Continued use of our services after changes constitutes acceptance of the modified terms.

13. Governing Law

These terms are governed by the laws of Queensland, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Queensland.
